much better graphics, plays DVDs without a special hookup, is smaller, wireless controls, also can use storage cards to use at say a friends house...the old one only had the HD...theres a bunch of other stuff but thats what i can remember off the top of my head...ive never owned Xbox but its mainly cuz i liked the gt series too much to let it go ;)
